Terms of Service

1. Agreement to Terms

By accessing or using the website uza.africa ('Site') and the online marketplace services (collectively, the 'Services') provided by uza.africa ('we,' 'our,' or 'us), you agree to be bound by these Terms of Use ('Terms). If you do not agree to these Terms, you must not access or use our Services.

2. Changes to Terms

We reserve the right to modify these Terms at any time. We will always post the most current version on our Site and indicate the date of the latest revision. Your continued use of our Services after any changes constitutes your acceptance of the new Terms.

3. Eligibility

You must be at least 18 years old to use our Services. By using our Services, you represent and warrant that you are at least 18 years old and have the legal capacity to enter into these Terms.

4. Account Registration and Security

4.1 Account Creation

To access certain features of our Services, you may be required to register for an account. When registering, you must provide accurate, current, and complete information. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

4.2 Account Security

You agree to notify us immediately of any unauthorized use of your account or any other breach of security. We will not be liable for any loss or damage arising from your failure to maintain the security of your account.

4.3 Account Termination

We reserve the right to suspend or terminate your account and access to our Services at our sole discretion, without notice, for conduct that we determine violates these Terms or is harmful to other users, us, or third parties, or for any other reason.

5. User Content

5.1 Posting Content

Our Services allow you to post listings and other content ('User Content'). You retain ownership of your User Content, but you grant us a worldwide, non-exclusive, royalty-free license to use, reproduce, adapt, publish, translate, and distribute your User Content for the purpose of operating and promoting our Services.

5.2 Content Restrictions

You agree not to post User Content that:

  • Is illegal, fraudulent, deceptive, or misleading
  • Infringes on intellectual property rights of others
  • Contains viruses, malware, or other malicious code
  • Harasses, threatens, or promotes violence against individuals or groups
  • Is sexually explicit, obscene, or pornographic
  • Promotes illegal activities or substances
  • Violates any applicable laws or regulations of Tanzania
  • Attempts to impersonate another person or entity
  • Contains personal or sensitive information about others without their consent
  • Is discriminatory on the basis of race, ethnicity, national origin, religion, gender, or disability

5.3 Content Monitoring

We do not actively monitor User Content but reserve the right to review and remove any User Content that violates these Terms or that we find objectionable for any reason, without prior notice.

6. Prohibited Activities

You agree not to engage in any of the following prohibited activities:

  • Using our Services for any illegal purpose or in violation of any local, state, national, or international law
  • Attempting to interfere with, compromise the system integrity or security, or decipher any transmissions to or from the servers running our Services
  • Using any robot, spider, crawler, scraper, or other automated means to access our Services
  • Bypassing measures we may use to prevent or restrict access to our Services
  • Collecting or harvesting any personally identifiable information from our Services
  • Impersonating another person or otherwise misrepresenting your affiliation with a person or entity
  • Interfering with any other user's enjoyment of the Services
  • Engaging in any automated use of the system, such as using scripts to send messages or posts
  • Attempting to gain unauthorized access to another user's account or our computer systems
  • Using our Services in a manner inconsistent with any applicable laws or regulations

7. Transactions Between Users

7.1 No Endorsement

We do not endorse any specific User Content or items listed for sale. We are not a party to transactions between users and do not guarantee the quality, safety, or legality of items advertised, the accuracy of listings, or the ability of buyers to purchase items or sellers to sell items.

7.2 User Responsibility

You are solely responsible for all interactions with other users, including but not limited to negotiations, meetings, payments, and delivery of goods or services. We strongly recommend exercising caution and good judgment in all transactions, particularly when meeting in person for transactions in different regions of Tanzania.

7.3 Local Transactions

Our platform primarily facilitates local transactions in Tanzania, with featured listings from areas such as Arusha and other regions. Users are advised to verify the authenticity and condition of items before completing any transaction.

7.4 Release

You release us from any claims, demands, and damages arising out of disputes with other users or third parties in connection with your use of our Services.

8. Fees and Payments

8.1 Service Fees

We may charge fees for certain features or services. All fees are specified on our Site and are subject to change upon notice. You agree to pay all applicable fees and taxes associated with your use of our Services.

8.2 Payment Processing

Payments are processed through third-party payment processors. By using our paid services, you agree to comply with the terms and conditions of these third-party payment processors.

8.3 Refunds

All fees are non-refundable unless otherwise specified on our Site or required by applicable law.

9. Intellectual Property Rights

9.1 Our Intellectual Property

The Services, including all content, features, and functionality, are owned by us, our licensors, or other providers and are protected by copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.

We grant you a limited, non-exclusive, non-transferable, revocable license to access and use our Services for personal, non-commercial purposes in accordance with these Terms.

9.3 Restrictions

You must not:

  • Modify, copy, or create derivative works based on our Services
  • Frame or mirror any part of our Services
  • Use any meta tags or other hidden text utilizing our trademarks
  • Use our Services or content for any commercial purpose without our prior written consent
  • Attempt to decompile or reverse engineer any software contained in our Services

10. Local Laws and Regulations

As a platform primarily serving users in Africa, you agree to comply with all applicable local laws and regulations. This includes, but is not limited to, consumer protection laws, electronic commerce regulations, and data protection laws specific to Tanzania.

11. Disclaimer of Warranties

OUR SERVICES ARE PROVIDED 'AS IS' AND 'AS AVAILABLE' WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED OR ERROR-FREE, THAT DEFECTS WILL BE CORRECTED, OR THAT THE SERVICES OR SERVERS THAT MAKE THEM AVAILABLE ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL WE BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE SERVICES, ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE SERVICES, ANY CONTENT OBTAINED FROM THE SERVICES, OR UNAUTHORIZED ACCESS, USE, OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), OR ANY OTHER LEGAL THEORY, WHETHER OR NOT WE HAVE BEEN INFORMED OF THE POSSIBILITY OF SUCH DAMAGE.

13. Indemnification

You agree to defend, indemnify, and hold harmless us, our affiliates, and their respective directors, officers, employees, and agents from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms or your use of the Services.

14. Governing Law and Dispute Resolution

14.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of Tanzania, without regard to its conflict of law provisions.

14.2 Dispute Resolution

Any dispute arising out of or relating to these Terms or our Services shall be resolved through binding arbitration in accordance with the rules of the Tanzania Institute of Arbitration. The arbitration shall be conducted in English and/or Swahili, and the arbitral award shall be final and binding on both parties.

14.3 Class Action Waiver

You agree that any proceedings to resolve disputes will be conducted only on an individual basis and not in a class, consolidated, or representative action.

15. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary so that the Terms will otherwise remain in full force and effect and enforceable.

16. Language

These Terms are available in both English and Swahili. In case of any inconsistency between the two versions, the English version shall prevail.

17. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and us regarding the Services and supersede all prior agreements and understandings, whether written or oral.

19. Termination

We reserve the right to terminate or suspend your access to our Services immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach these Terms. All provisions of the Terms which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.
